1. Acceptance of Terms

By accessing, downloading, installing, or using our Service in any way, you agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy and Disclaimers. If you disagree with any part of these Terms, you must not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Predetex is an AI-powered pest and species identification platform that analyzes images and text descriptions to provide identification results, treatment recommendations, and related information. Our Service includes:

• AI-based image and text analysis for pest and species identification (drawing on a database of 2M+ species)
• Treatment plan generation, cost estimates, and general recommendations
• Pest encyclopedia with educational content
• Community forum for pest-related discussions
• Outbreak mapping and community-sourced data
• Historical scan tracking and personal analytics
• AI expert chat and personalized advisor features
• Gamification and user achievement system
• Integration with third-party databases (GBIF, Catalogue of Life) and AI services

All features are provided for general informational and educational purposes only. Nothing in the Service constitutes professional pest control, medical, veterinary, legal, or any other licensed professional advice.

3. User Accounts and Eligibility

• You must be at least 18 years of age to create an account and use this Service
• You must provide accurate, complete, and current registration information and keep it updated
• You are solely responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account, whether or not authorized by you
• You must immediately notify us of any unauthorized access to or use of your account
• We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion

4. Subscription Plans and Billing

4.1 Credits and Plans

The Service operates on a credit system. Each full pest or species identification consumes 5 credits.

• Free Signup Credits: New accounts receive 20 free credits (4 identifications) at no cost
• Subscription Plans: Recurring monthly plans that grant a set number of credits per billing period (e.g., Starter at $19 CAD/month for 100 credits, Pro at $49 CAD/month for 375 credits, and Business at $99 CAD/month for 1,000 credits)

Credit amounts and prices may be updated from time to time; the pricing shown on the Subscription page in the Service at the time of purchase controls.

4.2 Billing and Renewals

• Subscription fees are billed in advance on a monthly recurring basis
• Your subscription automatically renews unless cancelled before the end of the current billing period
• All fees are in Canadian dollars (CAD) unless otherwise stated
• We reserve the right to modify fees with 30 days' advance notice
• Continued use after a price change constitutes acceptance of the new pricing

4.3 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings or your payment provider's customer portal
• Cancellation takes effect at the end of your current billing period; any credits already granted to your balance remain yours to use
• Subscription charges are final. Credits already granted from a billing period are non-refundable except where required by applicable law
• No refunds are provided for partial billing periods or unused credits remaining on your balance

5. AI Service Limitations and Critical Disclaimers

• AI Accuracy: Our generative AI and machine learning models are not 100% accurate. They may produce incorrect identifications, hallucinated information, misclassifications, or fail to detect pests entirely
• Not Professional Advice: The Service does NOT replace professional pest control services, licensed exterminators, agronomists, or expert consultation of any kind
• Species Database: Our 2M+ species database is imported from third-party sources (GBIF, Catalogue of Life, iNaturalist) and may contain errors, outdated taxonomy, or incomplete data
• Treatment Risks: Treatment recommendations are general guidelines only. Some treatments may be toxic, harmful, regulated, or illegal if used incorrectly or in certain jurisdictions
• No Guarantees: We provide no warranties regarding the effectiveness of treatment recommendations or the accuracy of identifications
• Regional Limitations: The Service is primarily calibrated for North American species and may be less reliable for regional, exotic, or newly invasive species
• Forum Content: Community forum posts and comments represent user opinions only and are not verified by VERTEXIQ SOLUTIONS INC
• User Responsibility: You are solely responsible for verifying all identifications, researching treatments independently, and ensuring legal compliance before acting

6. User Content, Data, and AI Training

You retain ownership of any images, text, scan data, or other content you submit ("User Content"). By submitting User Content, you grant VERTEXIQ SOLUTIONS INC a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to use, store, reproduce, analyze, and incorporate such content to operate and improve the Service, including training and refining our AI models. We may use anonymized and aggregated data for research, service improvement, and AI training without restriction.

You represent and warrant that your User Content does not violate any third-party rights or applicable laws. You are solely responsible for your User Content.

7. Community Forum — Additional Terms

• Forum content is user-generated and not reviewed or endorsed by VERTEXIQ SOLUTIONS INC before posting
• We review reported content and will remove objectionable content and suspend or ban the responsible users, typically within 24 hours of a report
• You must not post false, misleading, harmful, defamatory, or illegal content
• You are solely responsible for any content you post in the forum
• Do not post personal information about yourself or others in the public forum
• You can report any post or reply using the Report button
• You can block any user from the forum, which hides all of their content from you

8. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Submit false, misleading, harmful, or inappropriate content
• Attempt to reverse engineer, decompile, hack, or compromise the Service or its AI models
• Scrape, crawl, or use automated tools to access the Service without our written permission
• Share, sell, or transfer your account credentials to third parties
• Impersonate any person, entity, or professional (e.g., posing as a licensed exterminator)
• Violate any applicable laws, regulations, or third-party rights
• Use the Service in a manner that could damage, disable, or impair its functionality

9. Privacy and Data Protection

Your privacy is governed by our Privacy Policy, incorporated herein by reference. By using the Service, you consent to the collection, use, and disclosure of information as described in our Privacy Policy. Our practices comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian provincial privacy legislation.

10. Intellectual Property Rights

The Service and all original content, AI models, features, algorithms, databases, and functionality are and will remain the exclusive property of VERTEXIQ SOLUTIONS INC and its licensors. The Service is protected by Canadian and international copyright, trademark, patent, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, or publicly display any portion of the Service without our prior written consent.

11. Third-Party Services and Content

Our Service integrates with third-party services including Google (AI, Vision API, Search), GBIF, Catalogue of Life, iNaturalist, OpenWeatherMap, Stripe (payment processing), and others. We have no control over and assume no responsibility for third-party content, privacy policies, or practices. Your use of third-party services is governed by their respective terms.

12. Limitation of Liability

• Property Damage: Damage to real or personal property, structural damage, plant damage, or damage to furnishings or materials resulting from pest activity or treatments
• Personal Injury or Illness: Bites, stings, allergic reactions, poisoning, disease transmission, or other health effects
• Financial Losses: Lost profits, business interruption, cost of professional services, or other economic damages
• Treatment Failures: Ineffective treatments, pest resistance, recurring infestations, or worsening conditions
• AI Misidentifications: Incorrect AI outputs leading to improper treatments or missed pest problems
• Forum Reliance: Actions taken based on community forum posts or user-generated content
• Data Loss: Loss or corruption of User Content or interruption of service
• Third-Party Actions: Actions of third parties, including pest control professionals you may engage

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you to the extent prohibited by law.

13. User Indemnification

You agree to defend, indemnify, and hold completely harmless VERTEXIQ SOLUTIONS INC, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, licensors, service providers, contractors, and legal representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable legal fees, court costs, and settlement expenses) arising from:

• Your use of the Service or reliance on any identifications, recommendations, or forum content
• Your violation of these Terms or any applicable laws or regulations
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any User Content you submit or any actions you take based on our Service
• Property damage or personal injury resulting from treatments you implement
• Misuse of pest control products or failure to follow safety guidelines
• Any unauthorized access to or use of the Service through your account
• Your violation of any environmental, pesticide, wildlife, or other regulatory laws

This indemnification obligation survives termination of these Terms and your use of the Service.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5, 6, 12, 13, 15) shall survive.

15. Governing Law, Jurisdiction, and Dispute Resolution

15.1 Governing Law

These Terms and all disputes arising from or related to the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Exclusive Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada to settle any dispute or claim arising out of or in connection with these Terms. You waive any objection to venue or inconvenient forum in those courts.

15.3 Dispute Resolution

• Informal Resolution: Before filing any legal action, you agree to first contact us at support@predetex.com and attempt good-faith informal resolution for at least 30 days
• Mediation: If informal resolution fails, parties agree to attempt mediation before initiating litigation
• Class Action Waiver: You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding

15.4 Limitation Period

Any claim or cause of action arising out of or related to use of the Service must be filed within one (1) year after the claim arose, or be forever barred, to the extent permitted by applicable law.

16. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. For material revisions, we will provide at least 30 days' notice by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after revisions become effective constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and Disclaimers, constitute the entire agreement between you and VERTEXIQ SOLUTIONS INC regarding the Service
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force
• Waiver: Our failure to enforce any provision does not constitute a waiver of that right
• Assignment: We may assign these Terms without restriction. You may not assign your rights without our prior written consent
• Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control
